Welcome to DaalBhat QR! These Terms & Conditions ("Terms", "Agreement") govern your access to and use of the website located at https://daalbhatqr.com (the "Site") and the digital menu creation, organization, hosting, and QR code generation services provided by DaalBhat QR (collectively, the "Service").

By registering for an account or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Eligibility & Age Requirement

To use the Service, you must be at least eighteen (18) years of age. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding contract under the laws of Spain. If you are registering an account on behalf of a business entity (such as a restaurant or cafe), you represent that you have the authority to bind that entity to these Terms.

2. Account Registration & Security

To access certain features of the Service, you must register for an account.

  • Account Accuracy: You agree to provide accurate, current, and complete information during registration and keep your account details updated.
  • Security Responsibility: You are solely responsible for safeguarding the credentials (email and password) used to access your account. You agree not to disclose your password to any third party.
  • Notification: You must notify us immediately at daalbhatqr@gmail.com if you suspect or detect any unauthorized use of your account or any other breach of security.
  • Liability: We will not be liable for any loss or damage arising from your failure to maintain the confidentiality of your account credentials.

3. Description of Service

DaalBhat QR is a web-based Software-as-a-Service (SaaS) platform that allows restaurants, cafes, bars, and food businesses (collectively, "Restaurants") to:

  • Create and update digital menus.
  • Upload food items, prices, descriptions, and images.
  • Organize menus into categories and subcategories.
  • Generate QR codes that customers can scan to view menus online.

QR Code Functionality & Uptime Disclaimer

We strive to provide a reliable service. However, the functionality of QR codes and the digital menus relies on internet connectivity, third-party hosting providers, and cellular network services.

  • Uptime: We do not guarantee 100% uninterrupted uptime. The Service may be temporarily unavailable for scheduled maintenance, system upgrades, or due to network failures beyond our control.
  • Downtime Liability: We are not liable for any loss of revenue, business disruption, or dissatisfied customers resulting from temporary service downtime or the inability of customers to scan or access menus.

4. User Content & Responsibility

You may upload images, text, prices, categories, and other content to the Service (collectively, "User Content").

  • Ownership: You retain full ownership of all intellectual property rights in your User Content. We do not claim ownership over any of the content you upload.
  • License to Us: By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free, fully paid, and sublicensable license to host, store, display, reproduce, and transmit your content solely for the purpose of providing and operating the Service.
  • Your Responsibility: You represent and warrant that you have all necessary rights, licenses, and permissions to upload the User Content. You are solely responsible for the accuracy, legality, and appropriateness of your User Content.
  • Compliance & Imagery: You must ensure that menu item images do not violate third-party copyrights, trademarks, or privacy rights. You are responsible for ensuring that menu descriptions, pricing, and allergen information comply with local food safety and consumer protection regulations.

5. Subscription Fees & Payments

  • Pricing: Access to certain features of the Service requires a paid subscription. Current pricing and plans are detailed on our Site.
  • Payment Processor: All payments are processed securely via our third-party payment processor, Stripe. By subscribing, you authorize Stripe to charge your designated payment method for the subscription fees.
  • Billing Cycle: Subscriptions are billed on a recurring basis (monthly or annually) depending on the plan chosen.
  • Taxes: All fees are exclusive of applicable value-added tax (VAT) or other sales taxes, which will be charged in accordance with local regulations.
  • Refunds: Refund policies are governed by our Refund & Cancellation Policy.

6. Prohibited Activities & Acceptable Use

You agree not to use the Service to conduct any illegal activities or violate our Acceptable Use Policy. Prohibited activities include, but are not limited to: hosting menu content that is fraudulent, misleading, or promotes illegal goods; scraping, reverse-engineering, or attempting to compromise the security of the Platform; and bypassing or attempting to bypass subscription and usage limitations.

7. Account Suspension & Termination

  • By You: You may cancel your subscription and close your account at any time through your dashboard or by emailing daalbhatqr@gmail.com.
  • By Us: We reserve the right to suspend or terminate your account and access to the Service immediately and without prior notice if you breach these Terms or our Acceptable Use Policy, if you fail to pay subscription fees, if we suspect fraudulent, abusive, or illegal activity associated with your account, or if we are required to do so to comply with legal obligations or court orders.
  • Effect of Termination: Upon termination, your right to use the Service ceases immediately. We will delete or anonymize your data in accordance with our Privacy Policy.

8. Intellectual Property Rights

Except for User Content, all materials, software, designs, logos, text, graphics, and trademarks associated with DaalBhat QR (the "Platform IP") are the exclusive property of DaalBhat QR or its licensors. You are granted a limited, non-exclusive, non-transferable, and revocable license to access the Platform solely for your business operations in accordance with these Terms. You may not copy, modify, distribute, or create derivative works of our Platform IP.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DAALBHAT QR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, DATA LOSS, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • YOUR USE OF OR INABILITY TO USE THE SERVICE.
  • ANY DOWNTIME OF QR CODES OR MENU DISPLAY.
  • UNAUTHORIZED ACCESS TO OR USE OF YOUR ACCOUNT.
  • CONTENT UPLOADED BY THIRD PARTIES OR OTHER USERS.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless DaalBhat QR, its directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with: your access to or use of the Service; your User Content (including claims of copyright infringement or inaccurate allergen labels); or your breach of these Terms.

12. Governing Law & Jurisdiction

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles. Any legal action, suit, or proceeding arising out of or relating to these Terms shall be resolved exclusively in the competent courts located in the city of Barcelona, Spain. Both parties consent to the personal jurisdiction and venue of these courts.

13. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect (e.g., via email or dashboard notification). By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms.
